Information About The Amended and Restated
Articles of Incorporation

As part of our on-going efforts to secure a non-profit designation for the SBBA, we had our organizational documents reviewed by an attorney who is representing us pro bono. The original Articles of Incorporation for the creation of the SBBA contained a minimal amount of information regarding the organizations purpose and intent.The attorney stated that our application for non-profit status will not be considered by the IRS without an amendment to limit the purpose of the corporation to one or more tax exempt purposes under 501(c)(3) and to state that the corporation will not engage, to any substantial degree, in non-exempt activities. This provision must be in the Articles per the Treasury Regulations under Section 501(c)(3).

Membership approval is necessary to adopt these amended and restated Articles of Incorproation.

3. OFFICIAL NOTIFICATION
Ammendment to By-Laws and Standing Rules Will Be Voted On
at the Booster Meeting on Tuesday, February 16, 2010

Membership at the Booster Meeting on January 19, 2010, discussed the proposed amendments to the SBBA By-Laws and Standing Rules with regards to the Executive Board position of Treasurer of Student Accounts. After an open discussion of the proposed amendment at the meeting it was agreed that the title should change to to Membership Administrator to more accurately describe the role of this individual. Along with the title change there will be an addition to the responsibilies to include maintaining the Band's database through CHARMS.

Membership approval is necessary to ammend the SBBA By-Laws and Standing Rules.

This is an official notification that at the proposed ammendments will go to vote at the Booster Meeting scheduled for Tuesday, February 16, 2010.

For your reference, the following are the proposed ammendments to the By-Laws and Standing Rules for the position of Treasurer of Student Accounts that were discussed at the January 19 Booster Meeting. The proposed changes are highlighted in red.

SBBA BY-LAWS PROPOSED AMMENDMENT
THE CURRENT BY-LAWS STATE:
Section 6.06    Treasurer of Student Accounts
The Treasurer of Student Accounts (“TSA”) will become familiar with the Fundraising of the Association, will receive and post all information from the various fundraising efforts of the Association to the fundraising points accounting information system and deliver information for the previous calendar month to the R&D Treasurer no later than the 10th of each month.

PROPOSED CHANGES TO BY-LAW TEXT
Section 6.06    Membership Administrator
The Membership Administrator (“MA”) will be responsible for organizing band registration activities, will maintain accurate information in the band database system,
will become familiar with the Fundraising of the Association, will receive and post all information from the various fundraising efforts of the Association to the fundraising points accounting information system and deliver information for the previous calendar month to the R&D Treasurer no later than the 10th of each month.


SBBA STANDING RULES PROPOSED AMMENDMENT
THE CURRENT STANDING RULES STATE:

Article I. Responsibilities of the Officers of the Board of Directors

Section 1.05   Treasurer of Student Accounts
  • Maintain accurate records of Student Credit in accordance with Article IV of these Standing Rules.
  • Maintain a database of the current mailing address, telephone number and email address for each Member and student.
  • Serve on Budget Committee.
  • Along with Band Director, President, Vice-President, and R&D Treasurer, confer with families who are in arrears on any band fees to ensure timely payment of all band fees.
  • Work with R&D Treasurer to prepare a written report for distribution at each monthly Board meeting that reflects total fees due and collected.
  • Coordinate with the R&D Treasurer to ensure delivery of the financial records, for their term of office, no later than May 31 for audit by an outside auditor selected and approved by the Board.
  • Provide the R&D Treasurer the information necessary for preparation and filing of all annual tax returns and any other federal or state mandated tax forms. This includes, but is not limited to, 1099 forms, Form 990, Business Personal Property Tax Returns, Business License Renewals, etc.
  • In February submit a proposed budget for your office to the President.
  • Attend all Board, General Membership and special meetings throughout the year.

If the above ammendments pass, then throughout both the By-Laws and Standing Rules the text “Treasurer of Student Accounts” would change to “Membership Administrator” and the initials "TSA” would change to “MA” to reflect the position title change.

4. Elections for 2010-2011 SBBA Board
to be held at Booster Meeting on February 16, 2010

During the Booster Meeting on Tuesday, January 19, 2010, the Nomination Committee, headed by Vicki Matthewsr, announced the slate of nominees for the 2010/2011 Sprayberry Band Boosters Association Board. Nominations were closed at the January 19th meeting.

Elections will be held at SBBA Booster Meeting on February 16, 2010.
The new Board of Directors will be sworn in at that time and will take office on March 1, 2010.

8. How the New School Schedule Effects Marching Band

The Cobb County Board of Education approved a balanced calendar for the 2010-2011, 2011-2012 and 2012-2013 school years. Each school year will begin the first week of August and end the Friday prior to Memorial Day in May. The 180-day balanced calendar includes one-week mid-term breaks for students and teachers in September and February and a full week of Thanksgiving holidays. The first semester of each school year will conclude before the winter holidays in December. Bascially, the kids get a 1 week break every 7-8 weeks and summer vacation will be about 9 weeks.

This new school calendar has required Sprayberry Band to make changes to its Marching Band program with regards to summer band camp and mini-camp schedules. The following are Marching Band camp and mini-camp dates as well as the competition schedule for 2010-2011.

11. Paying Band Fees…Not a Problem!
The Band Boosters Offer Opportunities to EASILY Pay Those Fees

If you have a student participating in any of the band programs at Sprayberry High School there are yearly band fees required to help maintain the band programs. This includes students in Concert Band, Symphony I, Symphony II, Jazz Band, Percussion, Marching Band, Color Guard and Winter Guard. To help our band families, the Sprayberry Band Boosters Association has come up with several EASY ways to help compensate those band fee payments. Stevi B’s Certificates are $10 each*.
For every certificate your family sells, $8.00 of the price goes TOWARD YOUR STUDENT’S BAND FEES
. So if you sell ten (10) certificates, $80 will be deducted from your band fee account. IT’S THAT EASY!

* Certificates may be checked out on an “honor” system. You do NOT have to pay for the certificates when they are checked out. You are responsible for every certificate checked out in your name. A&M Gold Jewelers will purchase your unwanted gold jewelry. Bring your old, mis-matched, broken or just plain ugly gold or platinum jewelry (rings, necklace, pendant, bracelet, earrings) to their store and an agent will assess your gold right there. The value of the gold will then be subtracted from your student’s total band fees. This fund raiser is available for the entire school year.

 

Really - it’s that easy! During Band Registration in April, and again during the recent Concert Band Registration this month, two different band families paid off their students’ ENTIRE band fees each with only a single ziplock bag of old gold!
